    Abstract: When the challenge of privatization is coming, the state-own enterprises must make some reforms to promote competitions. Personnel downsizing is the most common way, otherwise, the state-own enterprises also increase channels to rearrange employees diversely. Taiwan Power Company is a state-own enterprise with personnel downsizing problem. At present, Taiwan Power Company diversifies with the security business actively. Therefore, the purpose of the study investigated the opinions of supervisors and employees about the security business and staff rearrangement.
    The questionnaires were distributed to supervisors and employees. Data analysis came after questionnaire had been applied. And the main results were as follows?
    1. About 70% supervisors agree to replace the peace preservation police by security personnel because it can lower cost substantially.
    2. About 50% supervisors agree to replace the peace preservation police by employees because employees can do better in morality, attitude, learning ability, turnover rate, etc.
    3. About 70% employees are not willing to be rearranged because they worry about that salary and welfare will be poor, and they resist change, etc.
    4. About 25% employees are willing to be rearranged because they can avoid unemployment, learn new skills, and shift to different jobs, etc.
